THIS AGREEMENT made this (day, month, year) between (Agency), a (state) corporation, hereinafter called the Employer, and (Agent), hereinafter called the Employee.

Whereas, for many years prior hereto the Employer has conducted an insurance agency in (state), actively engaged in the sale of all kinds of insurance in (county, state) and the Employer is now so engaged and expects to continue in such business; and

Whereas, the Employer has through its years of effort, and at much expense, built its insurance agency into a large and successful business to the end that the confidential information acquired thereby, and the names of its customers is property of great value; and

Whereas, the Employer has simultaneously herewith employed the Employee as an insurance solicitor on terms satisfactory to each and such employment will enable the Employee to acquire confidential knowledge of the Employer’s business and acquaintance with the Employer’s customers; and

Whereas, the Employee affirms that it is only fair and reasonable that the Employee not be permitted to use such knowledge and acquaintance after the termination of such employment, whatever be the cause of the termination:

NOW THEREFORE, in consideration of the premises, and the consideration flowing to the Employee by reason of such employment, the Employee agrees with the Employer that the Employee will:

a. Refrain from carrying on or engaging in a business similar to said business of the Employer; and

b. Refrain from soliciting old customers of the Employer:

within (county, state), for a period of (quantity) years after the termination of said employment, whatever be the cause of the termination.

IN WITNESS WHEREOF, the Employer and the Employee have executed this Agreement, in duplicate, the date and year aforesaid.
